Terms of Service

Welcome to Vendise. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vendise Inc. ("Vendise," "we," "us," or "our") governing your access to and use of the Vendise website, mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

• "Marketplace" refers to the Vendise online platform where Sellers list and Buyers purchase modest fashion products.
• "Buyer" refers to any registered User who purchases products through the Platform.
• "Seller" refers to any registered User who has completed the seller onboarding process and lists products for sale on the Platform.
• "Content" refers to all text, images, product descriptions, reviews, logos, and other materials uploaded or submitted to the Platform.
• "Services" refers to all features and functionality provided through the Platform, including but not limited to product listing, order processing, payment handling, shipping facilitation, and customer support.
• "Store" refers to a Seller's individual storefront on the Platform.

To access certain features of the Platform, you must create an account. You may register using your email address and password, or through supported social authentication providers including Google, Facebook, and Apple.

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify Vendise immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You may only maintain one account per person. Vendise reserves the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

Vendise operates as a multi-vendor marketplace connecting Buyers and Sellers of modest fashion products. It is important to understand the following:

• Vendise is a platform facilitator and is not a party to the transactions between Buyers and Sellers
• Sellers are independent parties and are solely responsible for their products, listings, pricing, fulfillment, and compliance with applicable laws
• Vendise does not own, manufacture, store, inspect, or endorse any products listed on the Platform
• The contract for sale of any product is directly between the Buyer and the Seller

While Vendise provides tools to facilitate transactions and resolve disputes, we do not guarantee the quality, safety, legality, or accuracy of any product listing or the ability of Sellers to complete a sale.

As a Buyer on Vendise, you agree to the following:

• Orders: By placing an order, you make an offer to purchase the product from the Seller at the listed price. The order is confirmed once payment is successfully processed.
• Pricing: All prices are displayed in the selected currency (CAD, USD, or EUR). Prices are set by individual Sellers and may include taxes and shipping fees.
• Product Information: Product descriptions, images, and specifications are provided by Sellers. Vendise does not verify the accuracy of product listings.
• Reviews: You may leave honest reviews and ratings (1-5 stars) for products you have purchased. Reviews must be truthful, relevant, and not contain offensive or defamatory content.
• Coupons: Discount coupons may be offered by Sellers or Vendise and are subject to their specific terms, including expiration dates and eligibility requirements.
• Disputes: If you have an issue with an order, you should first contact the Seller. If the issue cannot be resolved, you may contact Vendise support for assistance.

As a Seller on Vendise, you agree to the following:

• Onboarding: To become a Seller, you must complete the store creation process, which includes identity verification through Stripe Connect. This requires providing personal information such as your legal name, date of birth, address, and banking details for payouts.
• Accurate Listings: You are solely responsible for ensuring that all product listings are accurate, complete, and not misleading. Product images must accurately represent the items for sale.
• Legal Compliance: You must comply with all applicable laws and regulations regarding the sale of your products, including consumer protection laws, product safety standards, and intellectual property laws.
• Modest Fashion Standards: Products listed on Vendise must align with the platform's focus on modest fashion. Vendise reserves the right to remove listings that do not meet community standards.
• Order Fulfillment: You are responsible for fulfilling orders accurately and within the handling time specified in your store settings. You must provide valid tracking information for all shipped orders.
• Fees and Commission: Sellers are subject to applicable transaction fees, platform commissions, and subscription fees as outlined in the seller dashboard. Vendise reserves the right to modify fee structures with prior notice.
• Payouts: Seller payouts are processed through Stripe Connect according to the payout schedule. Vendise is not responsible for delays caused by third-party payment processors.
• Subscriptions: Seller accounts may be subject to subscription plans. You are responsible for maintaining an active subscription to continue listing and selling products.

You agree not to engage in any of the following prohibited activities:

• Listing or selling counterfeit, stolen, or illegally obtained products
• Engaging in fraud, deception, or misrepresentation
• Infringing on the intellectual property rights of others
• Manipulating product reviews, ratings, or feedback
• Creating multiple accounts to circumvent suspensions or restrictions
• Scraping, harvesting, or collecting data from the Platform without authorization
• Interfering with or disrupting the Platform's infrastructure or security
• Using the Platform for any unlawful purpose
• Attempting to circumvent any fees, commissions, or security measures
• Harassing, threatening, or abusing other Users
• Sending spam, unsolicited communications, or promotional materials outside of the Platform

Violation of these prohibitions may result in immediate account suspension or termination, at Vendise's sole discretion.

Vendise's IP: The Platform, including its design, code, logos, trademarks, and all original content, is the intellectual property of Vendise Inc. and is protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written consent.

User Content: Sellers retain ownership of their product images, descriptions, and store content. By uploading Content to the Platform, you grant Vendise a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such Content solely for the purpose of operating and promoting the Platform.

DMCA / Takedown Process: If you believe that content on the Platform infringes your intellectual property rights, please contact us at admin@vendise.com with a detailed description of the alleged infringement. We will investigate and take appropriate action in accordance with applicable intellectual property laws.

All payments on the Platform are processed through Stripe, a PCI-compliant payment processor. Vendise does not store your full credit card information. Only the last four digits and card brand are retained for order reference purposes.

• Buyer Payments: Payment is collected at the time of order placement. Accepted payment methods include major credit and debit cards processed through Stripe.
• Seller Payouts: Seller earnings are paid out through Stripe Connect according to the applicable payout schedule. Payouts are subject to transaction fees and any applicable platform commissions.
• Transaction Fees: Vendise may charge transaction fees on sales processed through the Platform. Current fee structures are displayed in the seller dashboard.
• Currency: The Platform supports transactions in Canadian Dollars (CAD), US Dollars (USD), and Euros (EUR). Currency conversion rates are determined by Stripe.
• Refunds: Refunds for returned or disputed orders are processed back to the original payment method through Stripe. Processing times may vary depending on your financial institution.

Shipping and delivery of products is the responsibility of individual Sellers. Vendise provides tools to facilitate shipping, including:

• Shipping rate calculation from supported carriers (USPS, FedEx, UPS)
• Shipping label purchase and generation through the Platform
• Order tracking through carrier-provided tracking numbers

Estimated delivery times displayed on the Platform are approximations only and are not guaranteed. Vendise is not responsible for shipping delays, lost packages, or damage during transit. Disputes related to shipping should be directed first to the Seller and, if unresolved, to Vendise support.

Vendise offers a 30-day return policy on marketplace purchases, subject to eligibility requirements. For full details on our return process, eligibility criteria, and refund procedures, please see our Return Policy.

Buyers may initiate a return request through their order history within 30 calendar days of the order date. Sellers are responsible for reviewing and processing return requests in a timely manner. Refunds are processed to the original payment method once the return is completed.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VENDISE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. VENDISE MAKES NO WARRANTIES REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF ANY PRODUCTS PURCHASED THROUGH THE PLATFORM.

IN NO EVENT SHALL VENDISE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

VENDISE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VENDISE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

You agree to indemnify, defend, and hold harmless Vendise Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property rights; (d) any Content you upload or submit to the Platform; or (e) your products or services if you are a Seller. This indemnification obligation will survive the termination of these Terms and your use of the Platform.

Vendise may, at its sole discretion, suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended inactivity.

You may terminate your account at any time by contacting Vendise support at admin@vendise.com.

Upon termination:

• Your right to access and use the Platform will immediately cease
• Any pending Seller payouts will be processed according to Stripe's policies, minus any applicable fees, refunds, or chargebacks
• Sections of these Terms that by their nature should survive termination will remain in effect, including Limitation of Liability, Indemnification, and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. The federal laws of Canada applicable in Ontario shall also apply.

Any disputes arising out of or in connection with these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered under the rules of the Canadian Arbitration Association, with the arbitration taking place in Ontario, Canada.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Vendise.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Vendise reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" at the top of this page. We may also notify you via email for significant changes.

Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and may request account deletion.
